Actively Managed Certificates
Actively managed certificates (AMCs) have established a distinctive position within the investment realm, presenting investors with a versatile and efficient avenue to tap into a diverse array of asset classes and investment approaches. These distinctive financial instruments seamlessly merge the active management found in traditional funds with the user-friendly nature and adaptability of exchange-traded securities.
AMCs represent debt securities that encapsulate a portfolio of assets under the active supervision of an investment manager. The certificate's value is directly tied to the performance of these underlying assets. Unlike conventional funds, AMCs bypass the need for intricate legal frameworks, operating as straightforward contractual agreements involving the issuer, the investment manager, and the certificate holders. This streamlined structure empowers AMCs to deliver a high degree of flexibility, facilitating exposure to a wide spectrum of asset classes, encompassing equities, commodities, fixed income, and alternative assets.

What are Actively Managed Certificates?
Actively Managed Certificates (AMCs) are specialized structured products issued through a Luxembourg Special Purpose Vehicle (SPV).
Typical structured products are predetermined investments linked to the market, employing derivatives to attain a specific form of asset exposure.
AMCs stand out by offering the ability to replicate an index from a third-party advisor or mirror an asset allocation related to various asset types. This encompasses shares, bonds, derivatives, currencies, investment funds, indices, and other security types.
Additionally, AMCs may also have connections to real estate, private equity, participations, future cash flows, or intellectual property.
Their payoffs are intricately linked to the underlying asset acquired by the securitisation SPV, allowing for customised risk-return objectives to be achieved.
Actively Managed Certificates are subject to the general rules for structured products, which are usually only distributed to sophisticated, high networth or professional investors. AMCs require a simplified memorandum or mandate which set out the strategy’s basic parameters. These include:
The asset manager and the roles of related parties
Fees and compensation
Description of the strategy
Criteria for the selection of strategy components
Benchmarking to a relevant universe
Criteria for distributing income payments
Leverage applicable on the strategy
Details of where information on the strategy, including its composition and performance, can be accessed
